PNC Legal is seeking an experienced multi-dimensional lawyer with expertise in payments, including card related merchant processing, and treasury management. As a Senior Counsel within PNC’s Legal organization, you may be based in Philadelphia, PA ; Pittsburgh, PA; Birmingham, AL; Washington, D.C.; Cleveland, OH; Charlotte, NC ; or Atlanta, GA. Other locations with a PNC presence will be considered.
Responsibilities:
- Providing legal counsel to PNC financial technology partners regarding various products and services offered through Treasury Management, Merchant Services and/or other PNC affiliates.
- Significant transactional experience in drafting/negotiating electronic payments and payment card agreements, including co-branded credit cards and prepaid cards and products, familiarity with complex technology transactions, licensing, and payment and financial services matters related to emerging and traditional payment systems, payment gateways, and related services and products, consumer financial regulatory knowledge beneficial
- Strong experience handling product development, regulatory, legal and transactional issues impacting payment processors and systems, retailers, merchants, Fintech companies, lenders and other financial services providers preferred
- Draft, review, and negotiate agreements and transaction documents, particularly with respect to payments, innovative financial service alliances, including payment facilitators and other third-party service agreements
- Staying up to date with and providing legal counsel regarding compliance with laws, regulations, and rules dealing with financial services, including familiarity and experience with legal issues arising out of various payment network rules/systems and money transmittal services
- Collaborating with teams within PNC, including product, operations, compliance, and risk, on issues related to product development and sales to determine the impact to the risk policies applicable to internal business partners and advising regarding same
- Great communicator and solid project manager, able to effectively prioritize and advance many deals happening simultaneously, often on tight deadlines
- Drafting and reviewing client-facing documents, including contracts and disclosures and assisting with the review of vendor contracts.
- On-going assistance with building effective and efficient processes for legal review.
Identifies and manages legal risk for the organization.
Performs significant and complex legal work and regularly interacts with management.Oversees legal research, analysis, consultation and documentation within a framework of legal compliance and risk management.
Leads outside counsel relationships and manages expenses.
Networks with outside organizations to advance legal interests and legal health of the corporation and its industry.

Work Experience
Roles at this level typically require a university / college degree. Higher level education such as a Masters degree, PhD, or certifications is desirable. Industry-relevant experience is typically 8+ years. At least 5 years of prior management experience is typically required. Proven leadership experience with a moderate to large scope of responsibility is required.
