OVERVIEW

As the Legal Department Paralegal, you will report directly to the Company's Vice President, Deputy General Counsel – Corporate (DGC) and will be responsible for supporting corporate and securities matters as well as all litigation and prelitigation matters You will work closely with many members of the global Legal Department, especially the Vice President – Litigation and Global Employment Law, as well as cross functional partners in Finance, Treasury, Stock Administration, Human Resources and other departments. You will also coordinate and share certain paralegal responsibilities with the Legal Department Manager.

The successful candidate for this position will have significant experience supporting attorneys with public company corporate governance and SEC reporting AND/OR eDiscovery, litigation, and pre-litigation matters. RESPONSIBILITIES

We are seeking an experienced paralegal to join our Legal Team based in the San Francisco Bay Area. You will play a key role supporting the Legal Team with respect to corporate and securities matters as well as litigation and pre-litigation matters.


Corporate and Securities Responsibilities include:

  • Maintaining corporate governance documents and Legal Department corporate policies, supporting preparation of board of directors and committee materials, and assisting with review and resolution of potential conflicts of interest
  • Managing and retaining Section 16 filings, including preparing drafts of all Form 3, 4 and 5 filings for review by internal counsel and filing Forms 3, 4 and 5 with the SEC using Workiva or other designated filing system
  • Assisting with entity formation, state registrations and filings and day-to-day maintenance of U.S. subsidiaries, including managing annual entity compliance with Corporation Service Company (CSC)
  • Supporting Insider Trading Policy compliance, including collaboration with Stock Administration and Fidelity regarding trading windows, special blackouts, and 10b5-1 trading plans
  • Assisting with preparation of SEC Forms 10-K, 10-Q, and 8-K, including editing drafts in Workiva, and helping prepare sections of the Proxy Statement, including preparation, dissemination and review of annual D&O Questionnaires
  • Supporting special projects and tasks as the need arises, including support of M&A and other strategic transactions and management of equity award agreements

Litigation and Pre-litigation Responsibilities include:

  • Creating and implementing Legal Holds and sending / releasing Legal Hold Notices to BioMarin’s employees
  • Using eDiscovery tools (currently Microsoft Purview eDiscovery) to search, gather and maintain documents and exhibits needed for Litigation, Prelitigation, and Investigation matters
  • Providing general litigation support including managing files and documents, drafting letters to state/federal agencies and opposing counsel, responding to and managing subpoena requests, draft policy updates
  • Heavy editing and proofreading of documents and briefs, corresponding with opposing counsel, calendaring and developing initial answers to interrogatories and responding to document requests
  • Processing claims from EEOC/DFEH in the appropriate portals, including: managing deadlines with EEOC Investigators, gathering critical documents from business owners in response to document requests from agencies and attorneys, preparing letters of extensions to agencies and attorneys, calendaring deadlines, scheduling witness interviews, meetings, and mediations with EEOC or private mediators and preparing litigation binders for EEOC/DFEH mediations and/or Wage Hearings
  • Creating and maintaining a tracker and litigation calendar for all corporate and employment litigation matters handled both in-house and with outside counsel
  • Support employment counsel with implementation of company-wide training programs, including providing PowerPoint assistance and drafting of materials for distribution


EXPERIENCE AND SKILLS REQUIRED

  • 5 to 10+ years of paralegal experience, preferably including time at a major corporate law firm; prior experience working as a paralegal at a company is a plus, but not required; industry experience is a plus, but not required
  • Working knowledge of and experience with EITHER (1) general public company corporate governance and securities reporting requirements OR (2) litigation and pre-litigation matters case handling; familiarity with both areas is a big plus, but not required
  • Intermediate to advanced software skills with Microsoft Office, including Word, Excel, and PowerPoint
  • General familiarity with legal technology used to support a corporate and securities law practice and/or litigation practice, including securities filing software, entity and document management, and eDiscovery platform; experience with Workiva, iManage, or Microsoft Purview eDiscovery is a plus, but not required
  • Detail-oriented, strong writing skills, excellent grammar, and proofreading skills a must. Must also be self-motivated, a quick learner, and have a strong work ethic.
  • Excellent organization and time-management skills. Must be able to manage multiple projects and aggressive timelines in a diligent manner, prioritize, and work under pressure.
  • Exceptional written and verbal communication skills.
  • Strong team orientation. Must be able to collaborate effectively in a dynamic, fast-paced, cross functional environment.
  • Ability to think critically and strategically and to creatively problem solve.
  • Integrity while working with a wide range of sensitive and confidential issues.
  • Ability to work onsite at BioMarin’s San Rafael, CA headquarters at least two days a week.


EDUCATION

  • Bachelors' degree from an accredited college
  • Paralegal certification is a plus, but not required

In the U.S., the salary range for this position is $ 96,000 to $ 144,000 per year, which factors in various geographic regions. The base pay actually offered will take into account internal equity and also may vary depending on the candidate's geographic region, job-related knowledge, skills, and experience among other factors. A discretionary bonus and/or long-term incentive units may be provided as part of the compensation package, in addition to the full range of medical, financial, and/or other benefits, dependent on the level and position offered.
