This position will be responsible for the day-to-day administration of our global equity program including all aspects of recordkeeping, reporting, and reconciliation. The Stock Plan Administrator needs to ensure the accuracy and integrity of all equity data and be able to work closely with employees of all levels and other functional groups. Core Responsibilities:
- Effectively coordinate, administer the different types of Equity Plans (award-based and ESPP) for eligible programs and participants
- Serving as custodian of third-party recordkeeping systems (knowledge of E*TRADE Equity Edge a huge plus)
- Processing all types of stock grants (including PSAs, RSAs, Options, SARs, and Dividends), exercises, lapses, and reporting of payroll and taxes
- Interacting with transfer agent and third-party stock administrator to ensure that trades are settled timely; reconcile DWAC instructions and transfer agent activities
- Facilitating Directors and Officers compliance & reporting including Section 16 compliance (Form 3, 4 and 5) and related Proxy reporting requirements
- Partnering cross-functionally with Tax, Payroll, Accounting, Audit, Financial Reporting and HR (Total Rewards) to support organizational design/restructuring initiatives, onboarding and off-boarding of equity participating employees, etc.
- Supporting administration of our insider trading program
- Maintaining stock plan documentation for both internal and SOX compliance
- Responding to employee inquires and coordinating with internal teams and vendors as appropriate to facilitate problem resolution/resolve issues
- Preparing employee communications to support the effective administration of Equity Plans in an accurate and timely manner
- Remain abreast of evolving regulations and legislation and share awareness accordingly
- Connecting with peers through NASPP and maintaining awareness of “best practices” – taking steps to implement to improve processes and effectiveness
Qualifications:
- Proficient in Excel and Power Point
- Strong organization skills with the ability to track multiple tasks and issues
- Customer-service oriented with strong interpersonal and communication skills (written and verbal)
- Strong problem-solving, planning, and project management skills
- Ability to task-switch and deliver results in a fast-paced environment
- Strong critical thinking skills and discipline to deliver complete and accurate results
- Ability to identify and implement process improvements
- Proven ability to partner with cross-functional teams
- Exceptional judgement and ability to handle highly confidential information with the utmost discretion
Education / Experience Requirements:
- Education: Bachelor's Degree in Business, Finance, Accounting, Legal or HR-related disciplines
Experience: Minimum 3 years of exp in public company stock administration, HR, legal, executive or board support
- Bonus: Experience as a corporate paralegal; experience or interest in corporate governance or compliance
