Shareholder Relations Executive
Wilmington, DE
We are currently seeking a Shareholder Relations Administrative Assistant n the Wilmington, DE office. As a Shareholder Relations Executive, you will be primarily responsible for shareholder relations and shareholder related tasks. Additionally, there will be some opportunity to assist with compliance for federal, state & local (entity level), international for a large S-Corporation as time permits.
Job Responsibilities
- Develops and maintains a company shareholder relations plan
- Performs a comprehensive analysis, including financial metrics and differentiation
- Develops and monitors performance metrics for the shareholder relations function
- Monitors operational changes through ongoing contacts with company management, and develops shareholder relations messages based on these changes
- Creates presentations, press releases, and other communication materials as necessary
- Manages the shareholder relations portion of the company partner hub site
- Serves as the key point of contact for the shareholder/delegate community
- Organizes details needed for board meetings
- Provides feedback to management regarding the perception of how the company is being managed, and their view of its financial results
- Provides feedback to the tax team regarding the stock repurchase/sales/transfers as well as dividend & director fee changes
- Track all shareholder changes throughout the year and jurisdictional approvals including but not limited to share transaction requests, bank account changes, address changes, state of residency/domicile changes, stock transfers, and other items as needed and keeping Treasury, Accounting and Tax updated with changes
- Accumulate trust agreements, W-9, and other pertinent legal documents as needed
- Ownership and review of shareholder dividend supplier list
- Maintenance of shareholder ownership family trees
- Respond to requests related to tax payments, proof of payments, proof of company ownership, etc.
- Respond to shareholder requests for personal financial statement preparation
- Maintain online shareholder portal for delivery of confidential documents to shareholders including K-1’s, quarterly tax distribution and director fee summaries, affidavit forms, and annual tax elections
- Own, prepare and manage annual composite and withholding election process and related required affidavits
- Interact with wider finance team on shareholder related issues, including Treasury, Payroll, Accounting, Legal, and Tax
- Assist with implementation of process improvements to include automation and updating and creating policy and procedures
- Own and manage the quarterly director fee and dividend processes including the payment request and follow through as well as the related reconciliations and journal entries needed for accounting
- Own and manage the annual US Certificate of Residency process
- Respond to jurisdictional requests regarding ownership
What technical skills, experience and qualifications do you need?
- Bachelor’s Degree
- Five+ Years of Experience in Corporate Communications
- S Corporation or Partnership experience preferred
- Experience with trusts and estates is a plus
- Experience with Excel required
- Alteryx experience also a plus
- Effective interpersonal, written, and verbal skills
- Detailed Oriented with ability to multi-task in a fast-paced environment
